Defendant Arthur T. Demoulas, through counsel, responds to the September 9, 2025 Verified Complaint and files a counterclaim challenging his removal and seeking reinstatement as Market Basket’s President and CEO.
On September 9, 2025, immediately after unsuccessful mediation ended at approximately 10:30 PM, the Market Basket board fired Arthur T. Demoulas, without providing him with the opportunity to defend himself as required by Market Basket’s bylaws. Moments later at 10:37 PM the Board filed a 35-page lawsuit in the Delaware Court of Chancery against Mr. Demoulas, demonstrating quite clearly that their intent all along was to fire him.
The lawsuit is referred to as a verified complaint. The purpose of the Board filing suit late that evening was to get a jump on the lawsuit they expected Mr. Demoulas to file contesting his firing. Essentially, it attempts to justify their action as proper and ask the courts to bless it.
Therefore, Mr. Demoulas is the defendant here. If he did not respond to this filing, the court would have to issue a default judgment in the board’s favor. He is now answering their suit and filing a counterclaim. He is not seeking monetary damages, but for the court to find that the board’s actions were unlawful and to reinstate him.
